1. Introduction
These Terms and Conditions ("Terms") govern your access and use of the Pranos Hologlass Kit, associated software, and all related services ("Services") provided by Pranos Inc. ("Pranos"). By placing an order, accessing, or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. This establishes a legally binding agreement between you and Pranos. If you do not agree to these Terms, you may not access or use the Services.

2. Pre-Order Agreement for Past Customers
2.1 Previous Pre-Orders:
Pranos previously offered pre-orders for the Pranos Hologlass Kit. These pre-orders allowed customers to secure their spot in the queue for priority delivery. New pre-orders are no longer being accepted, but customers who placed a pre-order in the past are bound by these terms regarding refunds, cancellations, and final payments.

Refundable Deposits: If you placed a pre-order before this update, your deposit remains refundable before shipment of the Kit. If you request a refund, you will forfeit your place in the queue.

Final Payments: For those who placed pre-orders, you will be notified when the Kit is ready to ship. The deposit will be applied to the final purchase, and you will be invoiced for the remaining balance, including taxes and shipping costs.

2.2 Direct Orders (Current):
For customers who are placing direct orders now, full payment, including taxes and shipping, is required at the time of purchase. By placing a direct order, you agree to be bound by these Terms.

3. Payments, Shipping & Handling
3.1 Payments:
When Services are available, Pranos will charge your approved payment method for the full cost of the Kit, accessories, shipping, and taxes. Payments will be processed via ACH, debit, or credit card. You must ensure your payment method is kept up to date.

3.2 Title Transfer:
Title to the Pranos Hologlass Kit and accessories transfers to you upon successful delivery. Pranos retains ownership until the Kit is delivered.

3.3 Non-refundable Shipping & Handling:
Shipping and handling fees are non-refundable. Pranos will select the carrier, and delivery may require a signature. Estimated delivery times will be displayed in your Pranos account.

4. Refunds, Cancellations, and Returns

4.1 Refundable Deposit:
For customers with pre-orders, deposits remain refundable before shipment. After shipment, refunds are governed by the return policy below.

4.2 Return Policy:
You may return an undamaged and unopened Pranos Hologlass Kit within 30 days of receipt for a full refund, minus shipping fees. Kits that are opened or damaged may be subject to a restocking fee or denial of refund.

4.3 Cancellation and Refunds for Pre-orders:
If Pranos alters the product or pricing within 12 months of accepting your pre-order, you may cancel and receive a refund based on a straight-line depreciation model.

4.4 Refund Method:
All refunds will be issued to the original method of payment used at the time of purchase. This policy is in place to ensure security, compliance with payment processors, and to avoid the risk of duplicate refunds or chargebacks.

If your original card has been lost, stolen, or replaced, most banks will still route the refund to your account or your replacement card automatically. If the associated account has been closed, your financial institution may issue a check or alternative method of refund. If unsure, please contact your bank to confirm how they will handle the refund.

5. User Responsibility and Safe Usage
5.1 No Use While Driving:
The Pranos Hologlass Kit is not intended for use while driving. The opaque display obstructs rear visibility and may cause distractions, leading to accidents. Users are prohibited from using the Kit while driving and assume full responsibility for any legal or safety consequences resulting from improper use.

5.2 Content Responsibility:
The Pranos Hologlass Kit operates entirely offline as a projection system. The app replaces the need for HDMI cables or USB drives, allowing users to upload content locally and manage playback. Pranos does not host, monitor, access, or control any content displayed via the Kit. Users are solely responsible for:

- Ensuring compliance with local, state, and federal regulations.
- Avoiding the display of illegal, offensive, or inappropriate content.
- Any claims, disputes, or damages resulting from content broadcast through the Kit.

5.3 Compliance with Local Laws:
Users must comply with all local, state, and federal regulations regarding content broadcasting, vehicle safety, and public decency. Misuse of the device for unlawful or prohibited content may result in legal action against the user.

6. Third-Party Liability and Claims
6.1 Distraction and Accident Liability:
Pranos is not responsible for third-party claims or incidents (such as accidents or distractions) caused by the use of the Pranos Hologlass Kit. This includes any claims by drivers or pedestrians distracted by the content broadcast via the Kit.

6.2 Visibility Disclaimer:
The Kit reduces rear visibility due to its opaque display. Users assume full responsibility for any accidents or incidents caused by reduced visibility and are advised to use the Kit only when the vehicle is legally parked in a safe location.

7. Content and Broadcasting Liability
7.1 Prohibited Content:
Broadcasting illegal, offensive, or explicit content using the Pranos Hologlass Kit is strictly prohibited. Violation of this clause may result in termination of Services without a refund.

7.2 Indemnification:
You agree to indemnify and hold Pranos harmless from any claims, damages, or disputes resulting from content broadcast using the Pranos Hologlass Kit, including third-party claims arising from prohibited or inappropriate content.

8. Limited Warranty
8.1 Warranty Coverage:
The Pranos Hologlass Kit is covered by a one-year limited warranty against manufacturing defects. Disassembly, alteration, or tampering with the Kit voids this warranty.

8.2 Exclusions:
This warranty does not cover damage caused by misuse, accidents, improper installation, or any violations of these Terms.

9. Binding Arbitration and Dispute Resolution
9.1 Mandatory Arbitration:
You and Pranos agree to resolve any disputes arising out of or related to the Pranos Hologlass Kit or Services exclusively through binding individual arbitration, not through court proceedings. Class action lawsuits or class-wide arbitration are waived. All disputes must be resolved individually, and no consolidated or class proceedings are allowed.

9.2 Class Action Waiver:
By agreeing to these Terms, you waive your right to participate in any class action lawsuits. All disputes will be handled on an individual basis, and you agree not to participate as a plaintiff or class member in any class or representative action.

9.3 Opt-Out Option:
You may opt out of this arbitration and class action waiver by notifying Pranos in writing within 30 days of purchase. If you opt out, you retain the right to pursue claims in court but will forfeit the benefits of arbitration.

10. Limitation of Liability
Pranos’s liability for any claims arising from the use of the Pranos Hologlass Kit is limited to the amount you paid in the six months preceding the claim. Pranos is not liable for indirect, incidental, special, or consequential damages.

11. Compliance and Privacy
11.1 Privacy Policy:
Pranos collects minimal personal data (name and email) in accordance with its Privacy Policy. You may request to delete your account at any time, and Pranos does not track the Pranos Hologlass Kit’s usage or control content, as the system operates locally. Pranos is not responsible for the content broadcast through the Kit.

11.2 Account Information:
To create an account, users must provide their name and email. No additional personal information is collected. You may delete your account at any time by contacting Pranos support.

12. Governing Law and Severability
This Agreement is governed by the laws of the State of California. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force.
